Terms of Service

SkillSwap is a peer-to-peer skill-exchange platform for Nigerian university students. It supports two modes: free skill swaps (bartered lessons) and paid coin sessions using SkillCoins (“SC”).

SkillSwap is operated by CALM Global Information Technologies Limited, a company incorporated in Nigeria with its principal office in Lagos.

SkillSwap is a technology platform. We are not a school, university, employer, or educational institution. Users provide learning services to each other directly. We facilitate the introduction, communication, and payment flow — no more.

• You must be at least 16 years old. 18+ is recommended.
• Users under 18 need parental or guardian consent.
• You must be able to enter into legally binding agreements under Nigerian law.
• Information you provide must be accurate and current.
• One account per person. Duplicate accounts are prohibited.
• Banned users may not create new accounts.

• You are responsible for maintaining the confidentiality of your login credentials.
• You are responsible for all activity on your account.
• Notify us immediately at support@skillswapafrica.com if you suspect unauthorised access.
• We may verify identity — for example, before releasing large coin balances or resolving disputes.

Users may not:

• Post false, misleading, or fraudulent information.
• Harass, threaten, or abuse other users.
• Bypass the platform for off-platform payments (see Section 8).
• Create multiple accounts to manipulate matches, coins, or ratings.
• Scrape, harvest, or automate access to platform data.
• Reverse-engineer or attempt to breach platform security.
• Post copyrighted material without permission.
• Impersonate other users or organisations.
• Engage in illegal activities.
• Discriminate against users on the basis of race, religion, gender, sexuality, or disability.
• Solicit personal contact information beyond what is necessary for a session.
• Distribute malware, phishing links, or spam through the platform.

• SkillSwap facilitates connections between users. We do not participate in, guarantee, or verify the content of sessions.
• Users are solely responsible for the quality, safety, and legality of the sessions they conduct.
• Users are responsible for reporting any income earned through SkillCoin sessions to Nigerian tax authorities as required by law.
• Users must confirm attendance and completion honestly.
• Sessions should be conducted in appropriate settings — online video calls, or public/campus spaces for in-person meetings.

SkillCoins (“SC”) are internal platform credits used to book paid lessons.

Purchasing coins

• Coins are purchased with Nigerian Naira via Paystack.
• The exchange rate is set by SkillSwap and may change with prior notice.
• Purchases are final — coins cannot be refunded to Naira.

Earning coins

• Tutors earn coins by teaching sessions successfully.
• Bonuses are granted for profile completion, referrals, first taught session, and five-star reviews.
• Bonus coins expire 90 days after grant.
• Purchased coins never expire.

Spending coins

• Coins can only be spent on lessons within the platform.
• Coins have no cash value. They cannot be converted to Naira, transferred outside the platform, or exchanged for goods.
• Coins in your wallet are the property of SkillSwap, licensed to you for use on the platform.

Account termination

• If your account is terminated for violating these Terms, remaining coins are forfeited.
• If SkillSwap ceases operations, we will provide 30 days' notice and process refunds for unspent purchased coins where legally required.

• All payments are processed by Paystack, a licensed Nigerian payment processor.
• We do not store payment card details.
• Failed or fraudulent transactions may result in account suspension.
• Filing false chargebacks may result in a permanent account ban.

Users may not arrange payments outside of the SkillSwap coin system for lessons booked through the platform.

• Violation results in immediate account suspension and possible permanent ban.
• Why the rule: our escrow, dispute resolution, and platform integrity all depend on payments flowing through SkillCoins. Off-platform arrangements leave both sides exposed and circumvent the safety net we've built.

• When a coin booking is accepted, coins are held in escrow.
• Coins release to the tutor after both parties confirm session completion and (a) a minimum quality rating is submitted, or (b) 24 hours have elapsed since the learner completed.
• Users may dispute a session within 7 days of completion via the in-app dispute system.
• Clear-cut disputes (no-shows, cancellations) are resolved automatically. Complex cases are reviewed by a human admin.
• Admin decisions are final.
• Repeat dispute losses lead to account suspension (3 losses) or a permanent ban (5 losses).

• Users may rate and review sessions honestly.
• Fake, coerced, or retaliatory reviews are prohibited.
• We reserve the right to remove reviews that violate these Terms.
• We do not edit reviews to alter meaning; we may remove them entirely.

• You retain ownership of content you post — bio, messages, reviews, and any other material you upload.
• You grant SkillSwap a worldwide, non-exclusive, royalty-free licence to use, display, and distribute your content on the platform for the purpose of running the service.
• You are responsible for the content you post. It must not infringe others' rights.
• We may remove content that violates these Terms without notice.

• The SkillSwap name, logo, design, code, and platform are our property.
• You may not copy, modify, or redistribute platform content without written permission.
• Send trademark and DMCA notices to legal@skillswapafrica.com.

• Paystack for payments.
• Supabase for backend and authentication.
• Google for OAuth (optional sign-in).
• We are not responsible for the availability or actions of these third parties.
• Their terms apply when you use their services through SkillSwap.

The platform is provided “as is”, without warranties of any kind. We do not guarantee: the quality of lessons; the accuracy of user profiles; the outcome of matches; uninterrupted platform availability; or any specific results from using the platform. Users interact with each other at their own risk.

To the maximum extent permitted by Nigerian law, SkillSwap is not liable for indirect, incidental, or consequential damages arising from your use of the platform. Our total liability is limited to the amount you paid us in the 12 months before the claim, or NGN 50,000, whichever is greater.

This limitation does not apply to fraud, gross negligence, or death or personal injury caused by our negligence, where such exclusion is legally invalid.

You agree to indemnify and hold harmless SkillSwap, CALM Global Information Technologies Limited, and their officers and employees from claims arising out of:

• Your violation of these Terms.
• Your use of the platform.
• Your interactions with other users.
• Content you post.

• You may delete your account at any time via Settings.
• We may suspend or terminate your account for violation of these Terms, at our sole discretion.
• Upon termination:
  • Your access ends immediately.
  • Purchased coins remaining in your wallet: refundable on request (subject to fraud checks) if your account was terminated by us in error; forfeited if you violated the Terms.
  • Some data is retained per our Privacy Policy.

• We may modify the platform — features, pricing, policies — at our discretion.
• Material changes to these Terms are notified by email at least 14 days in advance.
• Continued use after changes constitutes acceptance.
• If you disagree with changes, delete your account before the effective date.

• These Terms are governed by the laws of the Federal Republic of Nigeria.
• Disputes will be resolved in the courts of Lagos State.
• Both parties agree to attempt good-faith mediation before litigation.
• Injunctive relief may be sought in any court of competent jurisdiction.

• Entire agreement: these Terms together with the Privacy Policy form the complete agreement between you and SkillSwap.
• Severability: if any provision is unenforceable, the rest remain in effect.
• No waiver: our failure to enforce a provision doesn't waive our right to enforce it later.
• Assignment: you may not assign your rights; we may assign ours (for example, in an acquisition).
